Both platforms require DRHP preparation by a SEBI-registered Merchant Banker. The key differences lie in eligibility, issue size, regulatory requirements, and investor base.

  • Net tangible assets of at least ₹3 Cr. in each of preceding 3 full years
  • Average pre-tax operating profit of ₹15 Cr. in at least 3 of preceding 5 years

  • Aggregate of proposed issue & all previous issues in same financial year ≤ 5× pre-issue net worth
  • No change of name in last 1 year; if changed, ≥50% revenue from new activity in preceding 1 year

  • QIB, HNI, and Retail investor categories
  • Anchor investor allocation up to 60% of QIB portion

  • Net tangible assets of at least ₹1.5 Cr. as per latest audited balance sheet
  • Track record of distributable profits in at least 2 of preceding 3 financial years (or positive net worth)
  • Company must be incorporated for at least 3 years; no winding-up petition or regulatory action pending

  • Minimum issue size: ₹1 Cr.; maximum post-issue capital ₹25 Cr.
  • DRHP prepared by SEBI-registered Merchant Banker & filed with stock exchange (not SEBI directly)
  • Market maker mandatory for 3 years post-listing for liquidity support

  • Migration to Main Board possible after 3 years & meeting the exchange's migration criteria

We do not conduct due diligence, prepare the DRHP, or manage subscription of the issue, as these are regulated activities reserved exclusively for SEBI-registered Merchant Bankers (Book Running Lead Managers).
